In that regard, Reseller agrees that it will not use any payment or other benefit derived from NEXENTA to make a payment of or an offer, authorization, or promise to pay money or any other thing of value to any foreign official, any foreign political party or party official, any candidate for foreign political office, or any other person while knowing that the payment or promise to pay will be passed on to one of the above for the purpose of (1) influencing an official act or decision of that person, (2) inducing that person to do or omit do to do any act in violation of his or her lawful duty or (3) inducing that person to use his influence with a foreign government to affect or influence any government act or decision affecting this Agreement or the distribution and licensing of the Software.
