Subject: to have an EU “home Member State” law The Russian Federation, as an issuer of Eurobonds sold and admitted to trading on a regulated market in the European Union, is deemed under EU law to have an EU “home Member State” for securities regulatory purposes. The rules governing the determination and responsibilities of Russia’s deemed home Member State are set out in two EU Directives – the Prospectus Directive (Directive 2003/71/EC of 4 November 2003), which deals generally with the approval and publication of prospectuses for security issuances in the EU, and the Transparency Directive (Directive 2004/109/EC of 15 December 2004), which is concerned primarily with the ongoing disclosure obligations of issuers of securities sold to the public or on a regulated market in the EU....Смысл более или менее ясен, но сформулировать трудно... |

Вот потому-то мне это и не нравится: Россия сама является суверенным эмитентом. Мне юристы [не совсем уверенно] подсказали, что она сама считается таким государством-членом ЕС (хотя в тексте директивы сказано, что она должна ВЫБРАТЬ такое государство). |
