Subject: права требования law Does the phrase "права требования" in the sentence at the end of the following paragraph refer to "claims against" the Companies (debts, liens, or other financial claims or property claims) or to the Seller's "right to claim ownership" in the Companies? That is, is the Seller being asked to verify that he will transfer the liabilities of the Companies to the Buyer or that he will transfer his ownership rights in the Companies to the Buyer?Стороны договариваются заключить Основной договор, согласно которому Покупатель обязуется купить, а Продавец обязуется продать 100 % акций Компаний по условиям, установленным в данном Договоре, (с обязательным подтверждением, что 100 % акций компании ABC принадлежат Компании DEF и что Продавец может передать Продавцу право собственности на 100 % акций компании GHI) и что другие условия данного Договора выполнены. Продавец заверяет, что по Основному договору он обязуется передать Покупателю все принадлежащие ему права требования во всех Компаниях, список которых прилагается к данному Договору. Please clarify. | Against the Companies, but I suspect the drafter meant the Sellers's shareholder/participatory and/or beficiary interest in them. |
