Each Subordinated Debt Holder and the Company hereby waives promptness, diligence, notice of acceptance and any other notice with respect to any of the Senior Obligations and these terms of subordination and any requirement that any Senior Party protect, secure, perfect or insure any lien, any property subject thereto or exhaust any right to take any action against the Company or any other Person or in respect of any Collateral.
