The undersigned agrees to indemnify and hold you harmless from and against any and all actions, claims, damages, losses and liabilities arising out of or related to this letter agreement and we will reimburse you for any and such actions or claims to the extent that any such action, claim, damage, loss of liability arises out of or is based upon any action taken or omitted by you without gross negligence or willful misconduct on your part.
