If all Loans have not been paid in full no later than xxx xxxx xxxx, the Borrower shall pay, no later than the Business Day following xxx xxxx xxxx, an amount equal to the difference between the Accelerated Related Prepayment Fee and the Reduced Prepayment Fee.

For these purposes:

"Accelerated Related Prepayment Fee" means the amount which would have been payable pursuant to Clause xx.xx.x (in relation to the Loans outstanding immediately prior to the Amendment Effective Date) other than in respect of principal and accrued interest calculated by the Facility Agent as though such Loans had been accelerated on xxx xxxx xxxx; and

"Reduced Prepayment Fee" means, in relation to any amount prepaid, the Relevant Amount."

В случае если все Займы не были выплачены в полном объёме в срок до xx xxxx xxxx, Заёмщик обязан выплатить не позднее чем в следующий за датой ххх хххх xxxx г. Рабочий День
сумму, размер которой равен разнице между Accelerated Related Prepayment Fee и Reduced Prepayment Fee.

В данных целях:

"Accelerated Related Prepayment Fee" означает сумму, которая подлежала бы уплате в соответствии с Пунктом xx xx.x (в связи с Займами, непогашенными непосредственно до Даты Вступления в Действие Изменений), но не в отношении основной суммы и начисленных процентов, рассчитанных Кредитным Агентом, как если бы такие Займы были предъявлены к досрочному взысканию xxx xxxx xxxx г.; и

"Reduced Prepayment Fee (Уменьшенная комиссия за досрочное погашение?)" означает, применительно к любой досрочно погашенной сумме, Соответствующую Сумму. ".
