I refer you to Articles 197 and 383 of the Companies’ Law. Article 197 provides that a company may indemnify any official for any liability imposed on him for the defense of any civil or criminal procedure during which he was relieved or in relation to a petition under Article 383 of the Law.
Article 383 refers to the power of the Court to grant relief to officials.
