Any obligation of the Lead Manager under this Mandate Letter is subject to there being, in the reasonable opinion of the Lead Manager, no material adverse change or event which is likely to result in a material adverse change in COMPANY’s business or financial condition since that represented in COMPANY’s latest published public accounts, or no circumstance, change or condition (or continuation of any circumstance, change or condition) in the international or domestic, syndicated debt, bank or capital markets which in the reasonable opinion of the Lead Manager may prejudice the Warehouse or Offering.
