Where a person acquires an unconditional right to be registered as the holder of a share. Allotment precedes the issue of the share. A share will be treated as allotted for cash with effect from the date on which the cheque for the share is received, provided that the directors have no reason for suspecting that the cheque will not be honoured. In the context of share issues, an issue of shares to a specific group of individuals (usually institutions). Statutory pre-emption rights will normally have to be disapplied in order to effect a placing. Investor Protection Committees impose strict limits on the number of shares that can be issued in this way and the value at which they can be issued. Vendor placing
A method of using shares to fund an acquisition by allotting shares in the purchaser to the vendors in exchange for shares in the target (or other assets) so falling within the exemption to the Companies Act 1985 pre-emption rights requirements for issues other than cash (section 89(4)). The consideration shares are then placed on behalf of the vendors by the purchaser’s bank so that the vendors will receive cash (the proceeds of sale of shares by the purchaser’s bank).
