(Printed in BIMCO Bulletin No.4, 1994) When the SHIPMAN Standard Ship Management Agreement was first launched by BIMCO in 1988, one of its most important objectives was to respond to a need for uniformity in a rapidly evolving ship management industry. At that time the apportionment of liabilities in many ship management agreements seemed to vary widely - despite the fact that most contracts offered much the same services. The widespread use of SHIPMAN today as a self-contained document or as a pro-forma for setting up individual management agreements, is clear evidence that the Agreement has successfully met the needs of the shipowning and ship management industries. The importance of SHIPMAN as a standard agreement for third-party ship management cannot be under-estimated. The absence of national or international background law covering third party ship management makes the contract clauses increasingly important - not only in providing contractual clarity but also in the setting of standards in an industry where an increasing proportion of the world fleet is being placed under management agreements. The main task of the original sub-committee during the development of SHIPMAN was, therefore, to prepare a document that provided clear contractual provisions striking a fair balance between the rights and obligations of the owners and the managers, thus reducing the risk of disputes on interpretation to the extent possible. It would be fair to say that this objective was also successfully achieved. However, in the intervening time since SHIPMAN was first issued, the shipping industry as a whole has been faced with an increasing regulatory burden - demonstrated most recently by the entry into force of the International Ship Management (ISM) Code. Like all sectors within international shipping, the ship management industry is potentially affected by regulations such as the ISM Code. In 1996, BIMCO´s Documentary Committee decided to establish a sub-committee with a mandate to consider, in particular, the general legal implications of the ISM Code on the SHIPMAN Agreement and to determine the extent of the impact that the Code might have on the contractual responsibility as between the owners and the managers. |
