"DOI Event" means, with respect to the Existing Shareholder, the occurrence of any of the following events or the existence of reasonable grounds to believe that any of the following events has occurred:
(a) the decease or deemed decease of DM; or
(b) the permanent incapacity or permanent disappearance of DM, or any event beyond the control of DM (including any illness, detention, abduction, injunction or court order) that permanently prevents DM from personally and independently exercising Control over the Existing Shareholder, provided that for the purposes of this paragraph (b), the occurrence of incapacity, disappearance or an impediment shall be deemed to be permanent if lasts for more than [six (6)] months.
