ACTION BY UNANIMOUS WRITTEN CONSENT OF THE BOARD OF DIRECTORSRESOLVED FURTHER: That, notwithstanding the foregoing, upon the satisfaction of any necessary requirements under local laws or regulations, the Chief Executive Officer of the Company shall, and hereby is authorized and directed, on behalf and in the name of the Company, to replace re-appointed director of the Subsidiary , and to serve as the director of the Subsidiary, and to designate any other persons as an officer or director of the Subsidiary as may be necessary or appropriate to manage the Subsidiary in the Chief Executive Officer’s sole discretion. Генеральный директор уполномочивается заменить на должности новоназначенного директора и осуществлять полномочия директора???? Не могу понять, правильно или нет. |

| Генеральный директор обязан и данным распоряжением уполномочен заменить переназначенного директора от имени Дочерней компании, а также ...(ну уже по принципу) |
